Erica Nazarian focuses on real estate and corporate law. Erica assists owners, developers and lenders on all aspects of commercial real estate matters, including acquisitions, sales, financing and leasing. Additionally, she advises clients with the negotiation and preparation of joint venture agreements, shareholders agreements and corporate formation and governance documents. Through her representation of parties on both sides of transactions, she has a unique perspective and understanding of how to approach each matter. Such clientele has included family owned and other real estate development and management companies, private equity companies, high net worth individuals, financial institutions and various joint venture entities.

Bringing a broad range of experience to his real estate and corporate law practice, Brian counsels clients on various aspects of commercial real estate matters including acquisitions and sales, financings, loan workouts, leasing, and property management.  Such matters include real estate assets in the New York City area, throughout the U.S. and internationally.  He also has substantial background in the negotiation and preparation of sophisticated joint venture agreements and the acquisition and disposition of corporate assets.

Brian’s representation of a diverse set of clientele informs his flexible approach to each transaction.  Such domestic and foreign clientele include family owned and other privately held development companies, private equity companies, and hedge funds.  Additionally, Brian’s experience in representing both public banking institutions and private lenders is particularly noteworthy for his experience in acting as lead counsel for lenders originating over $1.5 Billion in funding pursuant to the EB-5 Immigrant Investor Program.

He was previously a Partner at DL Partners and served as Vice President and General Counsel at Simone Development Companies where he gained an understanding of the practical needs of clients which provides a unique perspective in his representation as outside counsel.  Brian obtained national and international experience at the prestigious boutique firm of Duval & Stachenfeld LLP and the internationally recognized firm of White & Case LLP.

Tara Shamroth

Tara’s scope of practice includes all aspects of residential real estate matters, with a primary focus on development and offering plans as well as the acquisition and sale of various property types. Tara represents major developers (including private equity firms, public corporations, family offices and high net worth individuals) in connection with all aspects of offering plans. In addition to drafting and negotiating contracts and closing on these properties, she advises on construction, occupancy, access and other related issues. Tara is also a trusted advisor to both experienced investors and first-time homeowners with respect to the sale and purchase of individual residential resale condominium and cooperative units, multi-family properties, and single-family homes. Through her representation of developers, Tara has an unmatched insight into the development process and the risks associated with new construction.  This additional layer of expertise provides clients with a higher level of detail, a more comprehensive understanding of the transaction and ultimately improved protection. With her personalized approach to each project, Tara’s clients feel confident in her ability to meet their specific individual needs.

Jared Van Vleet

Jared Van Vleet focuses on real estate transactions and development.  He represents a diverse clientele in the review, negotiation, and preparation of the governing documents for large scale commercial, residential, industrial and mixed-use condominium developments throughout the State of New York.  In addition to handling the acquisition, sale and financing of various condominium assets and other real estate holdings, Jared oversees the filing of offering plans, applications for no-action letters and exemption applications with the New York State Department of Law.  He also represents clients in connection with the application for, and the compliance with, the requirements of various real property tax incentive programs available for developments in the City of New York.  Furthermore, he counsels clients in connection with all aspects of the conveyance of development rights, including the negotiation of contracts of sale, zoning lot mergers and zoning lot development agreements.
